These Terms and Conditions govern your access to and use of roboticdata.com and any content, materials, datasets, samples and services made available through it (the "Site").
By accessing or using the Site you agree to these terms. If you do not agree, do not use the Site.
If you access the Site on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" in these terms means that organisation.
2. Who we are
The Site is operated by Robotic Data Inc., a company incorporated in the United States.
Robotic Data Inc.
7800 N Mopac Expressway, Suite 205
Austin, Texas 78759
United States
Contact: privacy@roboticdata.com
In these terms, "we", "us" and "our" mean Robotic Data Inc.
3. Who may use the Site
The Site is intended for business users and for professionals evaluating data collection services. It is not directed at consumers or at anyone under 18.
By using the Site you confirm that you are at least 18 years old and that you are using it for business or professional purposes.
4. What the Site is, and what it is not
The Site is an informational resource describing our data collection capabilities, datasets and services.
Nothing on the Site is:
- An offer capable of acceptance. Descriptions of datasets, coverage, services, capabilities and delivery timelines are provided for information. Any supply of data or services is governed by a separate written agreement signed by both parties. Where those terms conflict with these terms, the signed agreement prevails.
- A guarantee of availability. Data coverage, collection geographies, sensor configurations and dataset specifications change. We may modify or discontinue any of them without notice.
- Professional advice. Nothing on the Site constitutes legal, regulatory, technical or investment advice, and you should not rely on it as such.
4.1 Forward-looking statements and investor material
Our news and investor pages may include forward-looking statements about our plans, expectations, capabilities, markets and performance. These are based on our views at the time of publication, involve risks and uncertainties, and actual outcomes may differ. We undertake no obligation to update them.
No content on the Site is an offer to sell, or a solicitation of an offer to buy, any security, and no part of it should be relied on in connection with any investment decision.
5. Acceptable use
You may view, download and print Site content for your own internal business evaluation purposes.
You must not:
- Copy, reproduce, republish, distribute, sell, licence or commercially exploit any part of the Site or its content, except as these terms expressly permit
- Use any robot, spider, scraper, crawler or other automated means to access, monitor, index or extract content or data from the Site, other than a search engine operating within the parameters of our robots.txt file
- Use Site content, including text, imagery, point cloud data, sample datasets, diagrams or visualisations, to train, fine-tune, evaluate or benchmark any machine learning or artificial intelligence model, except as section 7 expressly permits
- Attempt to gain unauthorised access to the Site, its servers, or any connected system or network
- Introduce malware, or take any action that imposes an unreasonable load on our infrastructure, or that interferes with the proper working of the Site
- Circumvent, disable or interfere with any security, access control or rate limiting feature
- Reverse engineer, decompile or disassemble any part of the Site
- Submit false, misleading or third party information through our forms, or impersonate any person or organisation
- Use the Site for any unlawful purpose, or in breach of any applicable export control, sanctions or data protection law
We may investigate suspected breaches, suspend or block your access, and report conduct to law enforcement where appropriate.
6. Intellectual property
The Site and all content on it, including text, graphics, logos, diagrams, photographs, imagery, point cloud and sensor visualisations, video, software and the selection and arrangement of that content, is owned by us or our licensors and is protected by copyright, trademark, patent, database and other intellectual property laws.
Robotic Data, our logos, and our product and service names are our trademarks. You may not use them without our prior written permission, except to refer to us factually and accurately.
Our technology is protected in part by United States Patent No. US11360216B2 and by other issued and pending patents. Nothing on the Site grants any licence under any patent.
Except for the limited permissions in sections 5 and 7, no right, title, interest or licence in any intellectual property is granted to you.
7. Data samples
We make sample datasets available for download on request. Samples are provided to help you evaluate whether our data is suitable for your programme. They are not a product, and they are not provided for operational use.
By requesting or downloading a sample you agree to the following.
7.1 Licence granted
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the sample solely for internal technical and commercial evaluation of our data collection services, for 90 days from the date of download.
7.2 What you may do
- Inspect, open, process and analyse the sample internally to assess data quality, format, structure and fitness for your use case
- Share it internally with employees and contractors who need it for that evaluation, provided they are bound by confidentiality obligations at least as protective as these terms, and provided you remain responsible for their compliance
7.3 What you may not do
- Use the sample, in whole or in part, to train, fine-tune, validate or evaluate any model intended for production, commercial deployment or external release
- Incorporate the sample into any product, service, dataset, corpus or model that you make available to any third party, whether or not for payment
- Redistribute, publish, resell, licence, sublicence or otherwise disclose the sample to any third party
- Publish benchmarks, comparisons, evaluations or performance results derived from the sample without our prior written consent
- Use the sample to create a derived, competing or substitute dataset, or to reverse engineer our collection methods, sensor configurations or processing pipeline
- Remove, obscure or alter any proprietary notice, watermark or embedded identifier
7.4 Expiry and deletion
At the end of the 90 day period, or on written request from us, you must stop using the sample and delete all copies, including copies held by your contractors and in your backup systems to the extent technically practicable. You will confirm deletion in writing if we ask.
7.5 Attribution
If we consent in writing to any publication referencing a sample, you will attribute it as "Data provided by Robotic Data Inc." or in such other form as we specify.
7.6 Samples are provided as is
Samples are illustrative extracts. They may be downsampled, cropped, redacted, blurred or otherwise modified, and they are not representative of the volume, coverage, density, accuracy or completeness of a full commercial delivery. They are provided without warranty of any kind. Section 11 applies to them in full.
7.7 Broader rights
If you want rights beyond internal evaluation, including any right to train models on our data, contact us and we will discuss a commercial licence. No such right exists unless we grant it in a signed written agreement.
8. Information you submit
When you submit an enquiry, request a sample, subscribe to updates, or otherwise send us information through the Site, you confirm that the information is accurate and that you are entitled to provide it.
We handle personal information in accordance with our Privacy Policy.
Feedback. If you send us suggestions, ideas or feedback about our data, services or the Site, you grant us a perpetual, irrevocable, worldwide, royalty free licence to use it for any purpose without restriction, attribution or compensation. Please do not send us anything you consider confidential or proprietary through the Site. Submissions made through the Site are not treated as confidential unless a signed non-disclosure agreement is already in place between us.
9. Careers and job applications
Job listings on the Site are provided for information and may be amended or withdrawn at any time. Nothing in a listing or in our recruitment process constitutes an offer of employment. Applications are handled through our recruitment platform and are governed by our Privacy Policy.
10. Third party sites and services
The Site links to third party websites, platforms and services, including our social media profiles, our recruitment platform, and content hosted by third parties. We do not control them, we do not endorse them, and we are not responsible for their content, terms, availability or privacy practices. Your use of them is at your own risk and subject to their terms.
11. Disclaimers
The Site and all content, materials and samples on it are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory.
To the fullest extent permitted by law we disclaim all warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.
We do not warrant that:
- The Site will be uninterrupted, timely, secure or error free
- Any content, specification, coverage figure, statistic or dataset description is accurate, complete or current
- Any defect will be corrected, or that the Site is free of harmful components
- Any result will be obtained from the use of the Site or any sample
You are responsible for verifying that any data or service is suitable for your intended use before relying on it.
12. Limitation of liability
To the fullest extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, data, goodwill or anticipated savings, arising out of or connected with your use of the Site or any sample, whether in contract, tort, negligence, strict liability or otherwise, and whether or not we were advised of the possibility of that loss
- Our total aggregate liability arising out of or connected with the Site and any sample, from all causes of action and under all theories of liability, is limited to one hundred United States dollars (US $100)
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
If you are a consumer resident in the United Kingdom or the European Economic Area, nothing in these terms affects your mandatory statutory rights, and this section applies only to the extent permitted by the law of your country of residence.
13. Indemnity
You will indemnify and hold harmless Robotic Data Inc., its affiliates, officers, directors, employees and agents from any claim, liability, damage, loss and expense, including reasonable legal fees, arising out of or connected with your breach of these terms, your misuse of the Site or any sample, or your violation of any law or third party right.
14. Copyright infringement notices
If you believe content on the Site infringes your copyright, send a written notice to privacy@roboticdata.com with the subject line "Copyright Notice", including:
- Your contact details
- Identification of the copyrighted work you say has been infringed
- Identification of the material on the Site you say is infringing, with enough detail for us to locate it
- A statement that you have a good faith belief the use is not authorised by the copyright owner, its agent or the law
- A statement that the information in your notice is accurate, and that under penalty of perjury you are the copyright owner or authorised to act on their behalf
- Your physical or electronic signature
We will investigate and respond, and we may remove material we determine to be infringing.
15. Changes
To the Site. We may change, suspend or discontinue any part of the Site at any time without notice or liability.
To these terms. We may update these terms from time to time. The updated version takes effect when we post it, and we will change the date at the top of this page. Where the change is significant we will give reasonable notice on the Site. Continued use after the update means you accept it. Any sample you downloaded before an update remains governed by the terms in force at the time of download.
16. Suspension and termination
We may suspend or terminate your access to the Site, and revoke any sample licence, at any time and without notice, if we reasonably believe you have breached these terms.
Sections 6, 7.3, 7.4, 8, 11, 12, 13, 17 and 18 survive any termination.
17. Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the State of Texas, United States, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and we agree that the state and federal courts located in Travis County, Texas have exclusive jurisdiction, and you consent to personal jurisdiction there.
If you are a consumer resident in the United Kingdom or the European Economic Area, this section does not deprive you of the protection of the mandatory law of your country of residence, or of the right to bring proceedings in the courts of that country.
18. General
Entire agreement. These terms, together with our Privacy Policy, are the entire agreement between you and us in relation to the Site, and replace any prior understanding on that subject. They do not replace or vary any signed commercial agreement between us.
Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, or severed, and the remaining provisions continue in force.
No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
No partnership. Nothing in these terms creates a partnership, joint venture, agency or employment relationship between us.
Export and sanctions. You confirm that you are not located in, and are not a national or resident of, any country subject to comprehensive United States sanctions, and that you are not on any restricted party list. You will not access the Site or use any sample in breach of applicable export control or sanctions laws.
Notices. Notices to us should be sent to privacy@roboticdata.com and to the postal address in section 2.
